Terms & Conditions
Effective date: May 4, 2026
Quick summary (not legally binding): You buy "Hyperplexity Credits" to request AI-powered research on tables and related data. Credits are deducted from your account only when a validation completes successfully — if a validation fails or doesn't finish for any reason, you are not charged for it. Credits don't expire while we keep offering the service. If we ever permanently shut down, we will give at least 6 months' written notice, and during that notice period any user may request a refund of their unused credit balance. Outputs can be wrong; you must review before using them.
By creating an account, verifying your email, purchasing credits, or using any part of the service (collectively, the Services), you agree to these Terms & Conditions (the Terms). You also agree to the Privacy Policy, which is incorporated by reference. If you are accepting on behalf of a company, you represent that you have authority to bind that company. If you do not agree, do not use the Services.
1) Definitions
- Provider, we, us, our: Subindex AI, Inc., 222 Concord Ave, Unit 1, Cambridge, MA 02138, USA.
- You, Customer, User: The individual or entity using the Services.
- Services: AI-assisted research on tables and related datasets, including deliverables such as summaries, analyses, or reports (collectively, Outputs).
- Validation: A discrete, end-to-end execution of the Services on User Content that, when completed successfully, produces an Output delivered to you.
- Hyperplexity Credits (Credits): Prepaid, unit-based right to access specified features or usage of the Services. Credits are not currency, have no cash value, and are non-transferable except as we expressly permit.
- User Content / Data: Data, text, tables, files, prompts, or other materials you submit to the Services.
- Third-Party Providers: External AI model hosts, web search providers, scholarly data providers, payment processors, and other infrastructure vendors used to provide the Services.
2) Eligibility & Accounts
You must be at least 18 years old (or the age of majority in your jurisdiction) and capable of entering a binding contract. You are responsible for your account credentials and for all activity under your account.
3) Email Verification; E-Sign Consent; Acceptance of Terms
By clicking "Verify" during email verification, you (a) confirm your email, (b) consent to receive electronic communications and records, and (c) agree to these Terms and our Privacy Policy. You may withdraw e-sign consent by closing your account; doing so may limit your ability to use the Services.

4) The Services
We provide AI-assisted research focused on tabular data. Unless we agree in writing, the Services are general informational tools and not legal, financial, medical, or other professional advice. You are solely responsible for how you use Outputs.
We may present estimates of the Credit cost of a given Validation before you run it (e.g., "approximately N credits"). Actual consumption can vary based on complexity, data size and format, and requested depth. The number of Credits actually deducted will be determined when the Validation completes (see Section 5).
5) Credits; Pricing; Charging Rules
- Price. Credits are priced at US $1 per credit. Prices may change at any time for future purchases. Taxes (if any) are additional and your responsibility.
- Top-ups. Credits are sold in fixed top-up amounts displayed at checkout. Larger top-ups may include promotional bonus credits at our discretion.
- Charging is success-based. Credits are deducted from your account only after a Validation has been successfully completed and the corresponding Output has been made available to you. We may temporarily reserve or "hold" Credits at the start of a Validation to ensure adequate balance, but no Credits are actually charged against your balance until the Validation completes successfully.
- Incomplete or failed Validations are not charged. If a Validation does not complete successfully — whether due to an error on our side, an upstream third-party provider failure, a network or system interruption, your cancellation, a content or input issue, or any other reason — no Credits are deducted for that Validation. Any Credits temporarily held will be released back to your available balance.
- What "successfully completed" means. A Validation is successfully completed when our system has finished processing your input and an Output has been generated and made available for delivery to you (for example, displayed in your account or sent to your verified email). Subjective dissatisfaction with the substance of an Output is not, by itself, a "failed" Validation under this Section.
- Validity of Credits. Credits do not expire while we continue offering the Services. See Section 11 for what happens if we permanently discontinue the Services.
- No cash value. Credits are not legal tender, not a stored-value instrument, and may not be resold without our written consent.
- Promotional credits. Promotional, bonus, or trial Credits may have additional conditions, including shorter validity periods, which will be disclosed at the time they are issued.
6) Payments; Taxes; Refunds; Chargebacks
- Payment processor. Payments are processed by Stripe, Inc. Your card and billing data are handled by Stripe under their privacy and security practices; we do not store full card numbers on our servers.
- Authorization. You authorize us (and our payment processor) to charge your payment method for credit purchases, taxes, and applicable fees.
- Refunds in normal operation. All credit purchases are final and Credits are non-refundable in normal operation, except as required by law or as expressly stated in these Terms.
- Billing errors and service failures. If a charge was made in error, or our service materially failed to deliver Outputs you paid for, contact eliyahu@eliyahu.ai within 30 days of the charge and we will make it right (for example, by reversing the charge, restoring Credits, or providing a refund).
- Refunds on permanent shutdown. See Section 11 for refund rights in the event we permanently discontinue the Services.
- Chargebacks. Please contact us before initiating a chargeback so we can attempt to resolve the issue directly. We may suspend or terminate your account for chargebacks or suspected fraud, and we reserve the right to dispute chargebacks where we believe the underlying charge was valid.
7) Acceptable Use
You will not (and will not permit others to):
- Use the Services for unlawful, harmful, deceptive, infringing, harassing, or discriminatory purposes;
- Submit or process data you lack the rights or consents to use;
- Attempt to reverse engineer, tamper with, or circumvent usage limits or security;
- Use the Services to create or distribute malware, spam, or to conduct surveillance or profiling in violation of law;
- Use the Services in high-risk environments where errors could lead to death, personal injury, or severe property or environmental damage.
8) Your Content & Outputs; Confidentiality; IP
- Your rights. As between you and us, you retain ownership of your Content. You grant us a worldwide, non-exclusive license to host, process, analyze, transmit, and display your Content and Outputs as necessary to provide and maintain the Services, to comply with law, and to prevent fraud or abuse. This license includes the right to transmit your Content to Third-Party Providers as described in our Privacy Policy.
- Use for improvement. By default, we may use aggregated and de-identified data about usage to improve the Services and develop analytics. We do not use your raw Content or Outputs to train our models, and we contractually require — or rely on documented zero-data-retention policies for — our Third-Party Providers not to use your Content or Outputs to train their models, unless you separately opt in or we have a written agreement stating otherwise.
- Confidentiality. We treat non-public Content as confidential and apply reasonable safeguards to protect it. However, you are responsible for not submitting regulated or highly sensitive data (e.g., PHI, PCI data, government-classified material, or third-party trade secrets) unless we have a signed data processing addendum that explicitly permits it.
- Outputs. Subject to these Terms and third-party rights, we grant you a non-exclusive license to use Outputs for your internal purposes. Outputs may be similar to outputs we provide to other users. You are responsible for reviewing Outputs for accuracy and suitability before use or publication.
- Feedback. You grant us a perpetual, irrevocable, royalty-free license to use suggestions or feedback you provide.
9) Privacy & Data Protection
Our collection and use of personal data are governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review the Privacy Policy carefully — it describes in detail how we collect, process, store, and protect your information; the Third-Party Providers we transmit data to; and the rights you have under applicable laws (including GDPR and CCPA/CPRA). 10) Service Availability; Changes; Beta Features
The Services may change, be modified, or be interrupted from time to time. We do not guarantee uninterrupted availability. Beta features are provided "as is" and may be modified or discontinued at any time without notice. Where a Validation cannot be completed because of a service interruption, the rules in Section 5 apply — you will not be charged for that Validation.
11) Wind-Down & Permanent Shutdown
Credits do not expire while we continue offering the Services. We have set the following commitments to protect users in the event we permanently discontinue the Services:
- Notice. If we elect to permanently discontinue the Services, we will provide written notice to all account holders at least 6 months in advance, by email and/or in-product notice.
- Continued operation during notice. During the notice period, we will continue to operate the Services so that you can use your remaining Credits. The success-based charging rule in Section 5 continues to apply during this period.
- Refund of unused Credits on request. During the notice period (and for a reasonable period after shutdown sufficient to receive late requests), any user may request a refund of their unused Credit balance by contacting eliyahu@eliyahu.ai. Refunds will be processed within 30 days of a verified request, paid to the original payment method where feasible, or by another reasonable method if the original payment method is unavailable.
- No automatic refunds. Refunds under this Section are issued upon request. Users who do not request a refund during the notice period may forfeit unused Credits at shutdown.
- Successor. If we sell, transfer, or assign the Services to another party that continues operating them, the obligations of this Section transfer with the Services and are not triggered.
- Scope. This Section is triggered only by a permanent discontinuation of the Validation Services. Temporary outages, maintenance windows, version changes, and modifications to features do not constitute a permanent discontinuation under this Section.
12) Intellectual Property
We own all rights in the Services, including all software, models, interfaces, and documentation, except for licenses expressly granted to you in these Terms. All rights not expressly granted are reserved.
13) Third-Party Services & AI Providers
To deliver the Services, we use Third-Party Providers, which currently include (without limitation): Anthropic, OpenAI, Perplexity, Google Cloud Vertex AI, Google AI Studio (Gemini API), OpenRouter (configured to route only to endpoints with explicit Zero Data Retention policies), Exa, OpenAlex, and Semantic Scholar. The set of providers may change from time to time. Each Third-Party Provider operates under its own terms and privacy policy; links are provided in our Privacy Policy. We are not responsible for outages, errors, or changes in these third-party services. Where a Third-Party Provider failure causes a Validation not to complete, the rules in Section 5 apply — you will not be charged for that Validation.
14) Support
Standard support is provided via email at eliyahu@eliyahu.ai. Premium or expedited support may require additional Credits or fees and will be disclosed before purchase.
15) Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, RELIABILITY, OR SUITABILITY OF OUTPUTS. AI-GENERATED OUTPUTS MAY CONTAIN ERRORS, OMISSIONS, OR INACCURACIES. YOU ARE SOLELY RESPONSIBLE FOR REVIEWING AND VALIDATING ANY OUTPUT BEFORE RELYING ON IT.
16) Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNTS YOU PAID FOR CREDITS IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL.
17) Indemnification
You will indemnify, defend, and hold us harmless from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Services; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any law or third-party right.
18) Term; Suspension; Termination
These Terms remain in effect while you use the Services or hold an account. We may suspend or terminate your access for fraud, misuse, non-payment, or breach of these Terms. You may stop using the Services and request account closure at any time. Sections that by their nature should survive termination (including Sections 8, 11, 12, 15, 16, 17, and 19) will survive.
19) Governing Law; Dispute Resolution
These Terms are governed by the laws of the Commonwealth of Massachusetts, USA, without regard to conflict of law rules. Except for claims for injunctive relief that may be brought in court, any dispute arising out of or relating to these Terms or the Services will be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its applicable rules, on an individual basis only. No class actions, class arbitrations, or representative actions are permitted.
20) Changes to Terms
We may update these Terms from time to time. If we make material changes, we will provide notice (for example, by email or in-product notice) and update the "Effective date" above. Continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
21) Export; Sanctions; Anti-Corruption
You represent that you and your use of the Services comply with all applicable export control, sanctions, and anti-corruption laws. You will not use the Services in violation of such laws or in jurisdictions or by persons subject to comprehensive sanctions.
22) Assignment; Force Majeure; Miscellaneous
You may not assign these Terms without our prior written consent; we may assign these Terms to an affiliate or to a successor in connection with a merger, acquisition, or sale of assets. Neither party will be liable for delays or failures caused by events beyond its reasonable control. These Terms, together with the Privacy Policy and any other documents incorporated by reference, constitute the entire agreement between you and us regarding the Services and supersede all prior agreements on the same subject. If any provision is held unenforceable, the remaining provisions remain in full force.
